Spank It Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Spank It, Inc. (“Spank It,” “we,” “us,” or “our”), governing your access to and use of https://spankit.com (the “Site”), the Spank It mobile applications, creator dashboard, fan portal, and all associated services, including the Spank It DAO and Spank It Token (SPANK) ecosystem (collectively, the “Platform”).

By accessing or using the Platform, you confirm that you are at least 18 years of age and agree to be bound by these Terms. If you do not agree, you must immediately cease use.

1. Eligibility & Age Restriction

1.1 You must be 18 years or older (or the age of majority in your jurisdiction) to use the Platform. 1.2 Minors are strictly prohibited. We do not knowingly collect data from or provide services to anyone under 18. Any violation will result in immediate account termination and potential reporting to law enforcement. 1.3 You represent that all registration information is accurate, current, and complete.

2. Account Registration & Security

2.1 You may register as a Creator, Fan, or both using the same email. 2.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. 2.3 Two-Factor Authentication (2FA) is mandatory for withdrawals, payouts, and DAO voting. 2.4 Notify us immediately at security@spankit.com of any unauthorized access.

3. Creator Responsibilities

3.1 Identity & Age Verification

• You must complete KYC/2257 verification before uploading content or receiving payouts.

• All performers in your content must be 18+, verified, and provide written consent (stored securely per 18 U.S.C. § 2257).

3.2 Content Ownership & Licensing

• You retain ownership of your uploaded content.

• By uploading, you grant Spank It a worldwide, royalty-free, sublicensable, perpetual license to host, display, watermark, promote, and distribute your content on the Platform and in marketing materials.

• You may revoke this license by deleting content (subject to retained copies for legal compliance).

4. Fan Responsibilities

4.1 You may subscribe, tip, purchase PPV, or interact only with verified creators. 4.2 No redistribution: Downloading, screenshotting, or sharing paid content outside the Platform violates these Terms and copyright law. 4.3 No harassment: Abusive, threatening, or spam behavior will result in account suspension.

5. Monetization & Payouts

5.1 Revenue Split:

• Platform retains 20% of gross earnings.

• Spank It Token (SPANK) holders receive perks including priority support, early feature access, exclusive NFT drops, and quarterly revenue share from the DAO treasury.

5.2 Payout Methods:

• Fiat via ACH/SEPA or Paxum

• USDC via Solana blockchain (fast, low-cost transfers)

5.3 Minimum Payout: $50. Processed every Thursday. 5.4 7-Day Hold: All new accounts and first payouts are subject to a 7-day fraud hold. 5.5 Refunds: Creators may issue refunds. Fans may request within 24 hours of purchase. All decisions final.

6. Spank It Token (SPANK) & DAO

6.1 SPANK is a utility and governance token on Solana. It is not an investment, security, or currency. 6.2 DAO Governance:

• 1 SPANK = 1 vote on platform upgrades, fee structures, treasury use, and policy changes.

• Proposals submitted via dao.spankit.com.

6.3 Token Perks for Spank It Token Holders:

• Priority support

• Early feature access

• Exclusive NFT drops

• Quarterly revenue share from DAO treasury

6.4 No Guarantees: Token value may fluctuate. We make no representations regarding future utility or price. 6.5 Wallet Connection: Connecting a Solana-compatible wallet (e.g., Phantom, Solflare) is at your own risk. We are not liable for lost keys or on-chain errors.

7. Payments & Chargebacks

7.1 All fan payments processed via PayPal or USDC on Solana. We do not store full card details. 7.2 Chargebacks: Frivolous disputes will result in account suspension and legal pursuit of damages. 7.3 Taxes: You are solely responsible for reporting and paying taxes on earnings or token rewards.

8. Intellectual Property

8.1 The Platform, branding, UI, and Spank It name are protected by copyright and trademark. 8.2 DMCA Takedowns: Report piracy via copyright@spankit.com. We respond within 48 hours.

9. Termination

9.1 We may suspend or terminate your account at any time for:

• Violation of these Terms

• Fraud, chargebacks, or harassment

• Legal or regulatory requests

9.2 Upon termination:

• All content is removed within 30 days

• Unwithdrawn earnings are forfeited if account was banned for cause

10. Disclaimers & Limitation of Liability

10.1 The Platform is provided “as-is” without warranties of any kind. 10.2 We are not liable for:

• Content uploaded by users

• Blockchain failures, token value loss, or wallet hacks

• Indirect, consequential, or punitive damages

10.3 Maximum liability: Limited to fees paid by you in the prior 6 months.

11. Indemnification

You agree to defend and indemnify Spank It, its officers, and affiliates against any claims arising from:

• Your content or conduct

• Violation of these Terms

• Infringement of third-party rights

12. Governing Law & Dispute Resolution

12.1 These Terms are governed by the laws of Delaware, USA. 12.2 Arbitration: Any dispute must be resolved via binding arbitration in Wilmington, DE under AAA rules. No class actions. 12.3 You waive right to jury trial.

13. Changes to Terms

We may update these Terms at any time.

• Material changes: 7-day email notice.

• Continued use = acceptance.
